Terms and Conditions for Uploading Content via the Girl Scouts of Ohio's Heartland website
Submission Guidelines
Submission Photographs, Video and Stories (“collectively Submission Content”) must be the original work of the Submitter, must not infringe upon any third party's rights, and must be suitable for publication (i.e. not obscene or indecent). Submitters agree not to submit any Submission Content to Girl Scouts of Ohio's Heartland (“GSOH”) in which another owns any copyright, trademark, patent, trade secret, moral right, or other proprietary right (or where a recognizable product that is protectable by copyright or trademark appears). Such submissions shall not be posted or utilized by GSOH. If the Submission Content includes a person other than the Submitter (or any other material or elements that are not owned by the Submitter and/or that are subject to rights of third parties), then Submitter is responsible for obtaining any and all releases and consents necessary to permit the exhibition and use of the Submission Content and authorizing use of the Submission Content in GSOH’s promotional materials without compensation, permission, or notification, unless prohibited by law. All written releases so obtained by a Submitter must be provided to GSOH, in the form provided by GSOH.
Intellectual Property Rights Assignment
With respect to the Submission Content to GSOH, Submitters grant to GSOH, and others working for GSOH or on its behalf, and each of its respective licensees, successors and assigns the following royalty-free, non-exclusive, perpetual, worldwide, irrevocable right: (1) to reproduce, distribute, publicly display or otherwise publish, broadcast and create derivative works containing Content in any media now or hereafter known, including, but not limited to display on GSOH's website, pinterest.com, facebook.com, Instagram, twitter.com or other social media vehicles, publications in GSOH's newsletters, marketing collateral, or other GSOH materials; and (2) to register or use copyright notices, in the name of GSOH, in connection with any GSOH works in which the Submission Content appears. Submitters also waive any right to inspect or approve any such use of their Submission Content, moral rights, or rights to attribution. Submitters agree, where permitted by law, to sign any documents necessary to effect this assignment. Submitter understands and agrees that display or publication of their Submission Content in print or electronic media (broadcasted or posted) by GSOH will not require GSOH to pay any consideration or seek any additional approval in connection with such use.
Release and Indemnification
By submitting any Submission Content, Submitter agree to release, discharge, indemnify, and hold harmless GSOH or their respective subsidiaries, affiliates, related companies, licensees, successors and assigns, advertising and promotion agencies, social media vehicles, and the directors, officers, employees, shareholders, and agents of each (each a “Releasee”) from and against any liability, injury, death, loss or damages to Submitter or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by reason of their participation in the collection of Submission Content (or related activities) for GSOH’s use. Submitters' obligations to indemnify Releasee include actions arising from any allegation that any Submission Content a Submitter submits to GSOH infringes or otherwise violates the copyright, trademark, trade secret, or other intellectual property or other rights of any third party. By submitting the Submission Content, Submitters agree that they have no right to bring (and covenant not to bring) any claim, action, or proceeding of any kind or nature whatsoever against GSOH and any of its Releasee in connection with their Submission Content. Submitters acknowledge and agree that Releasee do not have now, nor shall any of them have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the non-infringement or protection of any copyright, trademark, patent, or any other claimed right or interest in any Submission Content.
